Acceptance of Terms
These Terms of Use ("Terms") are a legally binding agreement between you and CreatorDAO (the "Company," "we," or "us").
These Terms govern your access to and use of CreatorDAO, including any content, features, and services (the "Platform")
made available to you. Whether you are a visitor or a registered user, by using the Platform, you agree to comply with
and be bound by these Terms.
Before using the Platform, please read these Terms carefully. By using the Platform or, where applicable, clicking "accept" or "agree" to these Terms, you accept and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.
The Platform is intended for users aged 13 years and older. By accessing the Platform, you represent and warrant that you are at least 13 years of age. If you do not meet the eligibility criteria, you must not access or use the Platform.
Modifications to These Terms
We may revise and update these Terms from time to time in our sole discretion. Any changes will take effect immediately upon posting of the revised Terms. However, any changes to the dispute resolution provisions and applicable law shall not apply to any disputes that have been previously notified to you.
Your continued use of the Platform after the posting of the updated Terms constitutes your acceptance of such changes. We recommend that you review this page periodically to stay informed of any updates, as they are binding upon you.
Access to the Platform and Account Security
We reserve the right, at our sole discretion, to withdraw or modify the Platform or any services or materials provided on the Platform, without notice. We will not be liable if, for any reason, the Platform is unavailable at any time or for any period.We may also restrict access to certain parts or the entire Platform, including for registered users.
You are responsible for:
· Making all necessary arrangements to access the Platform.
· Ensuring that all individuals accessing the Platform through your internet connection are aware of and comply with these Terms.
Account Registration and Security
To access certain resources or features of the Platform, you may be required to provide registration details or other information. The use of the Platform is conditioned upon the accuracy, completeness, and up-to-date status of the information you provide.
If you choose or are provided with a username, password, or any other piece of security information as part of our security procedures, you must treat such information as confidential and must not disclose it to any third party. You also agree to accept responsibility for all activities that occur under your account, whether or not you authorized such activities. You agree to notify us immediately of any unauthorized access to or use of your account.
We may disable any username, password, or other identifiers, whether chosen by you or provided by us, at any time if we believe you have violated any provision of these Terms.
Intellectual Property Rights
The Platform and all of its content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and their design, selection, and arrangement) are owned by the Company, its licensors, or other material providers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms grant you a personal, non-commercial license to use the Platform. You may not copy, distribute, modify, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any material from the Platform except as follows:
· Your computer may temporarily store copies of such materials as part of your access to and viewing of those materials.
· Your browser may automatically store files to improve display performance.
· You may print or download a reasonable number of pages from the Platform solely for personal, non-commercial use, provided you do not further copy, publish, or distribute them.
· If we make desktop, mobile, or other applications available for download, you may download one copy to your computer or mobile device solely for personal, non-commercial use, subject to any end-user license agreement that accompanies the application.
You may not:
· Modify any copies of the materials from the Platform.
· Use any illustrations, photographs, video, or audio sequences, or any graphics separately from the accompanying text.
· Remove or alter any copyright, trademark, or other proprietary rights notices.
You may not use any part of the Platform or any services or materials made available through the Platform for commercial purposes without our express permission.
If you violate these Terms by printing, copying, modifying, downloading, or otherwise using or providing access to any part of the Platform or its materials, your rights to use the Platform will immediately terminate, and you must, at our discretion, return or destroy any copies of materials you have made.
Trademarks
The Company name, the term "CreatorDAO," the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You may not use these trademarks without prior written consent from the Company. All other trademarks, service marks, and trade names used on the Platform are the trademarks of their respective owners.
Prohibited Uses
You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:
· In any way that violates any applicable federal, state, local, or international law or regulation.
· For the purpose of exploiting, harming, or attempting to exploit or harm others by exposing them to inappropriate content or otherwise.
· To transmit or procure the sending of any advertising or promotional material without our prior written consent,
including any "junk mail," "chain letter," "spam," or any other similar solicitation.
· To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
· To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Platform, or which, as determined by us, may harm the Company or users of the Platform or expose them to liability.
Additionally, you agree not to:
· Use the Platform in any manner that could disable, overburden, damage, or impair the Platform or interfere with any other party’s use of the Platform.
· Use any robot, spider, or other automated device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.
· Use any device, software, or routine that interferes with the proper working of the Platform.
· Introduce any viruses, trojan horses, worms, logic bombs, or other malicious material that could damage the Platform or its users.
· Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.
Wallet Integrations
To use certain features, such as interacting with decentralized protocols, you may need to connect a third-party digital wallet (e.g., MetaMask). By connecting your wallet, you acknowledge that:
· The wallet is not operated or controlled by CreatorDAO.
· CreatorDAO does not have access to your private keys or digital assets.
· You are responsible for securing your wallet and ensuring its safety.
When you use the wallet to execute transactions or interact with blockchain protocols, all actions are performed on a public, decentralized network, and CreatorDAO does not control or oversee such actions. CreatorDAO is not liable for any issues or losses arising from failed transactions, errors, or vulnerabilities in blockchain protocols or your wallet provider.
You acknowledge that all transaction fees (e.g., gas fees) are determined by the blockchain network and are your responsibility to pay. CreatorDAO will not and cannot recover funds, reverse transactions, or assist with lost wallet credentials.
Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, service providers, and each of their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Contributions, any use of the Platform’s content, services, and products other than as expressly authorized in these Terms.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY CONTENT ON THE PLATFORM, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
Indemnification
You agree to indemnify, defend, and hold harmless CreatorDAO, its affiliates, employees, agents, and service providers from and against any claims, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, violation of these Terms, or infringement of any intellectual property or other rights.
Arbitration and Dispute Resolution
Any disputes or claims arising out of or in connection with these Terms or the Platform shall be resolved by binding arbitration. The arbitration will be conducted by a single arbitrator selected and administered by the Singapore International Arbitration Centre (SIAC) under its arbitration rules. The seat of arbitration shall be Singapore, and the language of arbitration shall be English.
Governing Law
These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Any dispute arising out of these Terms will be subject to the exclusive jurisdiction of the courts of Singapore.
Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.
Entire Agreement
These Terms constitute the entire agreement between you and CreatorDAO regarding your use of the Platform, and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
